Terms of Service
Last Updated: September 2026
Welcome to Summer Sourcing Pro (the “Website”). These Terms of Service (“Terms”) govern your access to our website and all sourcing, procurement, quality inspection and logistics coordination services provided by us (“we”, “us”, “our”) to you (“you”, “Client”).
By submitting an inquiry, requesting a quotation, approving a service proposal or paying our service fees, you agree to be bound by these Terms. If there is any conflict between these Terms and a separate written service agreement signed by both parties, the signed written agreement shall prevail.
1. Scope of Service
We act as your non-exclusive sourcing agent to help you find manufacturers, collect quotations, arrange sampling, monitor mass production, conduct pre-shipment inspection and coordinate shipping & customs documents. We are not the manufacturer or seller of goods. All products are supplied by third-party factories. We do not manufacture, own or hold title to any goods.
Our available service plans include percentage-based service fees, fixed per-order fees and monthly retainer packages as described on our Pricing page. The applicable service scope will be confirmed before project commencement.
2. Service Fees & Payment
All service fees are calculated in accordance with our published pricing framework. Final fees will be confirmed in writing before project start.
– Client shall pay factory costs directly to manufacturers, plus our agreed service fee.
– For percentage-based plans, the minimum service fee applies as listed.
– Monthly retainer fees are prepaid at the start of each billing cycle.
– All third-party expenses including sample fees, factory inspection travel cost, freight, customs declaration, port charges and third-party lab testing are borne by Client and passed through at actual cost with no markup from us.
Invoices shall be paid by Client within the agreed payment term. Unpaid invoices may result in suspension of ongoing sourcing or inspection work.
3. Samples
Factory sample cost and sample shipping cost are payable by Client. We will arrange sampling per your specifications. We do not add markup on factory sample charges. Many factories will refund sample fees after mass production order confirmation, which depends on the factory’s own policy and is not guaranteed by us. You must confirm sample quality before mass production starts.
4. Orders, Production & Inspection
After you confirm factory, specifications and deposit payment, we will assist to place the order and track production progress.
Our standard full service includes one pre-shipment inspection following AQL standards. Extra inspection visits or third-party lab testing will be quoted separately. We will send inspection reports to you for review before shipment. Client must approve inspection result and pay balance payment before goods leave the factory.
5. Order Cancellation & Modification
If you cancel a project during the sourcing stage before factory order confirmation: we charge only for work already completed.
If you cancel after the formal production order is confirmed: cancellation terms follow the contract between Client and factory. Our service fees for work already performed are still payable. Any loss caused by factory deposit forfeiture shall be borne by Client.
Any changes to product specs, quantity or lead time after production starts may cause extra cost or delay, which we will notify you for written approval.
6. Shipping, Customs & Risk of Loss
We help arrange container loading, booking, customs declaration and prepare clearance documents. The international freight, duty, tax and customs clearance expenses are Client’s responsibility.
Risk of loss, damage or delay of goods transfers to Client once goods are handed over to the carrier. We are not liable for carrier delays, customs detention, import duty or port clearance issues in destination country. Client shall handle import compliance and confirm import rules for your country before shipment.
7. Product Quality & Liability Limit
We perform inspection according to agreed AQL standard and your specifications, but we cannot eliminate all manufacturing risks. We are not the product manufacturer and do not provide product warranty.
Our maximum total liability under any project shall not exceed our service fee for that specific order. We shall not be liable for indirect loss, lost profit, business interruption or consequential damages.
8. Confidentiality
We will keep your product drawings, specifications, target price, supplier information and business data confidential. We will not disclose your confidential information to third parties except required to deliver the sourcing service. Confidentiality survives service termination for 12 months.
9. Intellectual Property
Client warrants that all designs, logos, trademarks or artwork you provide do not infringe third-party intellectual property rights. Client shall indemnify us against any IP claims arising from products developed according to your instructions.
10. Website Use
All content on our website is for general information only. We reserve the right to modify pricing and service descriptions with website update. We do not warrant that the website is error-free or uninterrupted.
11. Termination
Either party may terminate the service with written notice. Upon termination, Client shall settle all outstanding service fees and third-party costs incurred up to termination date.
12. Governing Law & Dispute Resolution
These Terms are governed by applicable international trade principles. Any dispute shall first be resolved via friendly negotiation. If negotiation fails, disputes shall be settled by arbitration or court at our business location.
13. Amendments
We may update these Terms from time to time. Changes take effect once published on this Terms of Service page. Continued use of our services after updates means you accept the revised Terms.
